By accessing or using the CueOurCode Technologies website, services, or any related applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

Development Services

Consulting Services

- Automation strategy development
- Technical advisory services
- Implementation guidance
Services are provided under separate agreements that may include additional terms specific to each project.
User Responsibilities and Acceptable Use
By using our Services, you agree to:

- Use Services only for lawful business purposes

- Maintain the security of your account credentials

Your Content and Data
You retain ownership of all data, content, and materials you provide to us ("Client Data"). You grant us a limited license to use Client Data solely for the purpose of providing Services to you.
Work Product
Custom software, applications, and solutions developed specifically for you will be governed by separate project agreements. General methodologies, processes, and know-how remain our property.
Custom Development: Ownership and licensing terms for custom-developed solutions will be clearly specified in individual project contracts.
Payment Terms and Billing
Payment Structure

Payment Terms

Refunds and Cancellations

Disclaimer of Warranties

Technology Limitations
AI and automation technologies are rapidly evolving. While we strive for accuracy and reliability, we cannot guarantee that AI-powered solutions will be error-free or will meet all performance expectations in all circumstances.
Important: No warranty can guarantee that software will operate without interruption or be error-free.
Limitation of Liability
Liability Cap
To the maximum extent permitted by law, our total liability for any claims arising from or related to the Services shall not exceed the total amount paid by you for the specific Services giving rise to the claim in the 12 months preceding the claim.
Excluded Damages
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Exceptions

- Fraud or fraudulent misrepresentation
- Any liability that cannot be limited by law
Indemnification
You agree to indemnify, defend, and hold harmless CueOurCode Technologies and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any data or content you provide to us
- Your business operations and use of delivered solutions
Termination
Termination by You
You may terminate these Terms and stop using our Services at any time. Ongoing projects will be governed by their specific contracts.
Termination by Us
We may suspend or terminate your access to Services immediately if you violate these Terms or for any other reason at our sole discretion.
Effect of Termination
- Your right to use Services will cease immediately
- Provisions that should survive termination will remain in effect
- Outstanding payment obligations will remain due
- We may retain information as required by law or legitimate business purposes
